The conversion method depends on your state. Most LLCs follow one of two structured paths.

Method 1: Statutory Conversion

(When Available)

A statutory conversion allows your LLC to convert directly into a corporation under state law.

Includes:
Not all states allow statutory conversion
You do not lose your business age with the Secretary of State
The business continues under the same state record
You will receive a new EIN (required by the IRS)
The new EIN does not reset your business start date
Example:

If your LLC has existed for 3 years, the state will still show the business as being 3 years old after conversion.

Method 2: Merger Conversion

(When Statutory Conversion Is Not Available)

In states that do not allow statutory conversion, an LLC may convert to a corporation through a merger.

How It Works:
A new corporation is formed
The LLC is merged into the corporation
The corporation becomes the surviving legal entity
Assets, contracts, operations, and business activities are transferred appropriately
In most cases, the corporation will reflect a new formation date with the Secretary of State
